Gatwick Distribution Services Limited (“the Company” “us” we”) Trading at 4 Lloyds Court, Manor Royal, Crawley, West Sussex, RH10 9XT. When you (the person named on the order “the Customer” “you” “your”) place an order with us we do business together under the following terms:
1.Prices We offer goods for sale through, our website www.lgwservices.co.uk and our sales agents. Our prices vary from time to time and printed material such as advertisements will always show the dates when the prices are valid. During the valid period of an advertisement we may offer things at a lower price. This could be a special offer or just an everyday price cut. Our website will always show one price, the lowest price we have, and if you order from a advertisement which quotes a higher price we undertake to process your order at the lower price. We will always use the lowest price we are quoting at the time that your order is processed and this will never exceed the valid prices published in our advertisement.
2.VAT The prices we quote always include VAT at the applicable rate.
3.Payment 3.1 Subject to clause 3.2, we must receive payment with for the whole of the goods you order, and any applicable charges for carriage and insurance, before your order can be accepted unless we have agreed otherwise in advance in writing
3.2 If you are an account customer, payment shall be made in full within 30 days of the date of invoice. Time shall be of the essence for payment. We may revoke credit if you fail to make payment when due. If payment is not received when due , interest is payable at 5% over Lloyds TSB then base rate on the outstanding amount from the due date until receipt of the full amount, together with any reasonable legal or other recovery cost.
4.Dispatch We will normally dispatch your goods the same day, provided that your order is received by us before 3pm.
5.Delivery Unless you collect the goods from us, we will deliver them in accordance with your order. A valid signature will be required on collection or delivery. Upon Delivery of the to you the goods shall be at your risk. In spite of delivery having been made , title in the goods shall not pass to you until you have paid the price for the goods in full and no other sums what so ever shall be due to us from you. Until title in the goods passes from us, you shall hold the goods on a fiduciary basis as bailee and shall store the goods at your own cost separately from all other goods in your possession and marked in such a way that they are clearly identified as our property.
6.Receiving Orders Unless we have your written authorisation, we will always require an authorised signature when delivering goods to you.
7.Availability We aim to keep sufficient stock so that we never run out. However, on occasions of unexpectedly high demand we may unfortunately run out. If this happens we may delay dispatch of your order for a few days while new stock is obtained. If we are expecting a longer delay we will use the information you have provided with your order to keep you informed of progress. You may contact us at any time to check on the progress of your order.
8.Cancellation If you wish to cancel your order you may do so at any time until we dispatch it. Your order will be packed and dispatched in a very short period. If you wish to cancel the order you should do so by telephone and we will confirm that it has been possible. You should also confirm your cancellation in writing (letter, fax or e-mail)
9. Damaged or Faulty Goods We endeavour to check all goods prior to dispatch. Should a product arrive in a damaged or faulty condition you shall provide the Company within 48 hours of delivery details of any faulty goods or details of damaged goods. If you fail to notify us within the stated period we shall have no liability whatsoever.
10. We reserve the right to charge a 20% restocking fee.
11. Liability - If you have notified us of a problem with the goods, we will ( subject to clause 7) either make good any shortage or no –delivery or repair any goods that are damaged upon delivery ; or refund to you the amount paid by you for the goods in question. We will not be liable for any loss of profits, administration inconvenience, disappointment, indirect or consequential loss or damage arising out of any problem in relation to the goods and we shall no liability to pay any money to you by way of compensation other than any refund we make under these conditions. This does not affect your statutory rights as a consumer nor is it intended to exclude our liability to you for a fraudulent misrepresentation or for death or personal injury resulting from our negligence.
12. Limited Companies – Guarantee Those signing the Trade Credit Account Agreement Application form on behalf of limited companies do so as guarantor and irrevocably undertake to guarantee the payment of all monies owing to us by the relevant limited company if we believe that the limited Company can not meet its obligations. If the limited company goes into receivership, liquidation or administration the guarantor will pay to the receiver, liquidator, or administrator, as the case may be, such sum as will enable him to pay all monies to us by the limited company.
15. Age Restrictions Age restrictions apply to the supply of some goods. By ordering these goods you confirm that you are over 18 and that the person receiving the delivery is also over 18. We reserve the right to cancel your order if we believe you are not legally entitled to order certain goods.
16. Termination We may suspend further supply or delivery, stop any goods in transit or terminate our contract by notice in writing with you if you are in breach of an obligation hereunder or you have become unable to pay your debts as they fall due or proceedings are commenced by or against you alleging bankruptcy or insolvency. Upon termination, your indebtedness to us becomes immediately due and payable and we shall be under no further obligation to supply goods to you.
17. Force Majeure We shall have no liability to you for any failure or delay in supply or delivery or for any damage or defect to goods supplied or delivered hereunder that is caused by any event or circumstance beyond our reasonable control (including, without limitation, strikes, lockouts, wars, act of terrorism and other industrial disputes).
18. General If any part of these conditions is invalid, illegal or unenforceable (including any provision in which we exclude our liability to you) the validity, legality or enforceability of any other part of these conditions will not be affected.
19. Law These terms of business will be interpreted and adjudicated under English law.
